1. Introduction

The CoinAvatar is a platform for minting, displaying, selling, and collecting non-fungible assets, which includes the website https://coinavatar.com which provides information about the project, and the web application https://app.coinavatar.com where users can create molds and coins, use the marketplace and use the staking service. This whole structure can be named “We”, “Us”, or “Our”.

It’s the first service of its kind, offering a unique and innovative way to visualize and showcase your assets. With the help of CoinAvatar’s constructor, you can design сoins with exclusive attributes, ensuring that each item is unique and completely original.
The platform has its own marketplace with minimal commissions. Users can buy and sell molds and coins on it. The price is fully regulated by the marketplace and depends only on the rarity of the coin and the price of the pledged assets.

Staking is one of the ways of earning money that the CoinAvatar platform makes available to users. There are two options to choose from: CoinAvatar Native Token Staking and DeFi Staking for the cryptocurrencies, which will be locked in created coins.
Any services (hereinafter referred to as the “Services”) offered through the Site, including all information, tools, and services available to you, the user, are subject to your acceptance of all terms, policies, and notices set forth here. We reserve the right to change these Terms of Use at any time and without prior notice.

By using the Site Services, you agree to these Terms of Use. Please read them carefully. If you do not agree to all the terms of this agreement, you may not access or use our services.
These Terms of Use apply to all users of the Site, including but not limited to visitors and users who are sellers and buyers.

Any new features or tools added to the current Site are also subject to the Terms of Use. You can view the most current version of the Terms of Use at any time on this page. We reserve the right to update, modify or replace any part of these Terms of Use by posting updates and/or changes to our Site. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes.

2. General
Conditions and Definitions

The CoinAvatar is a platform for minting, displaying, selling, and collecting non-fungible assets, created through the web application. The platform lets anyone visualize their crypto in coins with lock-in Ethereum and other popular cryptocurrencies.

The contractual relationship between the buyer and the seller is drawn up in the form of a public offer agreement, which is enshrined in this document.

Acceptance of the offer – the purchase of goods in the manner specified by this document, at the prices, indicated on the Site, and the agreement on the terms of payment and receipt of the goods.

Account – you will need a third-party wallet to access the Services.

Coins Constructor is based on unique coins with unique attributes, designed by talented 3D artists and put together by our own personal constructor technology. Each сoin has dozens of attributes that are combined to create unique characteristics and shapes. Users can be assured that they will be one-of-a-kind.

The CoinAvatar’s сoin is a unique digital gem that satisfies both the users’ need for creativity and their desire for building strong and clear assets. This visual representation of cryptocurrencies is a standalone asset. It can be exchanged, assembled to other non-fungible assets in collections, or sold on an internal or external marketplace. An important feature is the option of fusing molds for coins minting. It makes the coins obtained from the molds more rare, more expensive, and profitable during staking.

Third-Party Vendors – all transactions made through the Services are managed and confirmed on the Ethereum blockchain and are processed by third-party vendors (collectively, “Third-Party Vendors”), rather than by CoinAvatar. In order to initiate the minting and purchase of a CoinAvatar asset, and to display, store, trade, and sell your CoinAvatar asset, you may need to set up, respectively, an electronic wallet with Metamask (provided by ConsenSys Software Inc.) By using the Services to do any of the foregoing, you agree to the Terms of Service, and, where applicable, the Privacy Policies of such Third-Party Vendors, including but without limitation the Metamask Terms of Service (https://consensys.net/terms-of-use/) and Privacy Policy (https://consensys.net/privacy-policy/), and the Aave Terms of Service (https://aave.com/term-of-use/) and Privacy Policy (https://aave.com/privacy-policy/).
Except as expressly set forth herein, those Third-Party Vendor terms govern the transaction that is effectuated on the Ethereum blockchain when you request CoinAvatar to mint any CoinAvatar asset, including any related decentralized technologies (e.g., Ethereum), websites, services, tools, applications, smart contracts, and APIs which are provided by such Third-Party Vendors. For clarity, the Services do not include services provided by Third-Party Vendors.

Tokens – are non-mineable digital units of value that exist as registry entries in blockchains.

Asset – is a unique non-fungible asset generated from a unique Coins Constructor.

Visitors – people who enter the site for informational purposes.

Users – people interested in creating or any other activities related to non-fungible asset.

3. Acceptable Use and
Conduct

3.1.
Project features.

The CoinAvatar project embodies all the features asset needs to bring back the interest in creativity and collecting. This is accomplished by creating a market space where people get their needs met for asset as digital art and a source of getting rewards.

3.2.
Main CoinAvatar Platform features include:
First Non-fungible  Cryptocurrency.

Users can create their own coin by locking some crypto-assets stored in their wallets into it. Thus, the price of asset is based on the value of real currencies and is not subject to significant fluctuations, like other assets.

Digital Gem.

Users can give their crypto-assets a digital avatar consisting of combinations of dozens of different parameters: rare coin materials, gemstones, decorative engraving, and others.

Rarity Achievement Mechanism.

The project team has created its own constructor, which uses different combinations of coin parameters to create a unique product. Such an asset will not be repeated in the collections of any other person.

Smart Staking Mechanism.

The CoinAvatar platform provides access to easy and straightforward staking options with consistent yields. Customers can choose between CoinAvatar native token staking and DeFi Staking for the cryptocurrencies locked in created coins.

Marketplace.

The platform has its own marketplace with minimal commissions. Users can buy and sell molds and coins on it. The price is fully regulated by the marketplace and depends only on the rarity of the coin and the price of the pledged assets.

Money-back.

The key feature of CoinAvatar is the possibility of asking for a full return of locked-in coins money by destroying a coin.

3.3.

CoinAvatar is not a party to any agreement between buyers and sellers of assets or between users. The Site is neither a wallet provider, exchange, broker, financial institution nor a creditor. The Site offers a web service that allows users to discover and interact with each other as well as assets available on public blockchains. We have no custody or control over the assets or blockchains with which you are interacting, and we do not execute or affect asset purchases, transfers, or sales. To use our Service, you must use a third-party wallet that allows you to perform blockchain transactions.

You understand and acknowledge that CoinAvatar does not have custody, possession, or control of any asset or cryptocurrency at any time for the purpose of facilitating transactions on the Site. You affirm that you are aware and acknowledge that CoinAvatar is a non-custodial service provider and has designed this Site to be directly accessible by users without any involvement or actions taken by CoinAvatar or any third party. CoinAvatar cannot make any representation or guarantee that the users will achieve any particular outcome as the result of transacting with assets on the Site.

3.4.

You hereby expressly delegate CointAvatar the right and power to transmit your information to such Third-Party Vendors as reasonably necessary for CointAvatar to provide the Services to you. CointAvatar has no affiliation with any Third-Party Vendors, and CointAvatar does not and will not collect or receive any of the information, including any personal information, that you provide to such Third-Party Vendors, except for any information that may be publicly available on the Ethereum blockchain. Because CointAvatar has no control over Third-Party Vendors or their websites, you acknowledge and agree CoinAvatar is not responsible for the availability of such external websites, mobile applications, or resources accessible from those Third-Party Vendors, and does not endorse and is not responsible or liable for any content, advertising, products, services, or other materials available from such websites or mobile applications, nor does CointAvatar endorse any of such websites, mobile applications or resources, or the products or services accessible on such websites or mobile applications.

3.5.

In order to use the Services, you will need a third-party wallet. By using your wallet in connection with the Services, you agree that you are using such a wallet under the Terms and Conditions of the applicable provider of the wallet. Wallets are not operated by, maintained by, or affiliated with CoinAvatar, and CoinAvatar does not have custody or control over the contents of your wallet and has no ability to retrieve or transfer its contents. CoinAvatar accepts no responsibility for, or liability to you, in connection with your use of a wallet and makes no representations or warranties regarding how the Services will operate with any specific wallet. If you discover an issue related to your wallet, please contact your wallet provider. You are solely responsible for keeping your wallet secure and you should never share your wallet credentials or seed phrase with anyone. We are not liable for any acts as a result of your wallet being compromised.

4. Platform Functionality

4.1.

The main activity for platform users is the creation of molds and coins. Molds on the CoinAvatar platform are also assets. They fulfill the function that, in real life, special frames used for minting money have. Without them, the user cannot create their own сoins. We do not limit users in any way while creating molds and coins on the CoinAvatar platform, but users can make only one coin from one mold. Each mold is unique, and there are no two identical molds.

4.2.

All attributes used on the CoinAvatar platform can be conditionally divided into mold and coin attributes. Users can “fuse” two different molds to get a new mold with unique attributes. The resulting mold helps users create a more compound coin, which gives specific bonuses during staking. Users can use an coin to participate in staking and get rewards, sell it on the marketplace, or melt it and get back their locked crypto assets. It is worth noting that the coin cannot be melted if it is used in one of the proposed staking plans before the expiration date of the plan.

4.3.

To start yielding from your assets you should complete 4 easy steps:

4.3.1.

Head to our Site, where you can create your initial mold or browse through the
marketplace for pre-existing fused options.

4.3.2.

Lock some of your cryptocurrency into the mold and create a fully-fledged coin with access to staking, starting with as little as $1 and a minimum denomination of 0.001. The more stable assets you make, the greater your returns will be.

4.5.

You are responsible for all payments, fees, and costs when engaging in any transactions involving CoinAvatar assets, including, without limitation, the purchase price, transaction fees, and all other fees associated with your use of the Services or the services of Third-Party Vendors, including but not limited to purchasing, trading, destruction, and fusing CointAvatar assets.

You also are solely responsible for payment of all national, federal, state, local, or other taxes of any jurisdiction, of whatever nature whether now in effect or imposed in the future by any national federal, state, local, international, or any other governmental authority or taxing jurisdiction, including, without limitation, any income, sales, use, value-added (VAT), goods and services and other taxes and duties associated with your use of the Services, the services of Third-Party Vendors, and your purchase of CointAvatar assets from any party. You are solely responsible for any tax reporting for transactions in which you may be a seller of CointAvatar assets.

4.6.
Secondary Sales.

You have the unlimited right to sell or transfer your CoinAvatar assets on the marketplace. We do not monitor or control any marketplace purchases or sales, or any other activity beyond that on the Site.

4.7.

By using or accessing the Site, you are deemed to have read, accepted, executed, and agreed to be bound by all the terms and conditions of these Terms, our Privacy Policy, incorporated herein by reference. If any provision of these Terms or any future changes are unacceptable to you, do not use or continue to use the Site.

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all parts of the Site and use of the Site thereafter.

Your continued use of the Site after following the posting of the revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

5. Products and/or services

5.1.
Molds & Coins.

The “Molds and Coins” section is the user’s personal space on the Site, where his/her own
items
are displayed.

Here the user has the following options:

  • to generate molds (the basis for the coin);
  • to merge 2 molds into 1 more rare mold;
  • to generate coins;
  • to stake coins;
  • to create an offer for molds or coins for the marketplace.
5.2.
My Molds.
5.2.1.
Generating a Mold
  • to generate molds (the basis for the coin);
  • to merge 2 molds into 1 more rare mold;
  • to generate coins;
  • to stake coins;
  • to create an offer for molds or coins for the marketplace.
A request will be sent to the wallet, where a user has to:
  1. set the spending limit for CAV and click “Next” (we advise you to choose the “set default value” option, this way you will set a limit that does not exceed the amount of the future transaction);
  2. check the set limit and press “Confirm”;
  3. confirm the transaction;
  4. the Mold has been generated. Click “Done” to return to the “My Molds” tab or “Generate One More” to immediately create the next Mold.
5.2.2.
Fusing Molds
To fuse Molds, the user should have at least 2 Molds.
  • Open the “Molds & Coins” section, the “My Molds” tab;
  • Select the “Fuse Molds” option;
  • Select 2 Molds for melting and click “Fuse”.
A request will be sent to the wallet, where a user has to:
  1. set the spending limit for CAV and click “Next” (we advise you to choose the “set default value” option, this way a user will set a limit that does not exceed the amount of the future transaction);
  2. check the set limit and press “Confirm”;
  3. confirm the transaction;
  4. the Mold has melted. Click “Done” to return to the “My Molds” tab.
5.2.3.
Selling a Mold
  • Open the “Molds & Coins” section, the “My Molds” tab;
  • Click on the desired Mold;
  • Select the “Sell Mold” option;
  • Choose a token and enter the price and click the “Sell Mold” button.
A request will be sent to the wallet, where a user has to:
  1. set the spending limit for CAV and click “Next” (only in case of sale in CAV). We advise you to choose the “set default value” option, this way the user will set a limit that does not exceed the amount of the future transaction;
  2. allow access and transfer of your tokens and press “Confirm”;
  3. confirm the transaction;

The offer has been successfully generated.

5.3.
My Coins.
5.3.1.
Creating a New Coin
  • Open the “Molds & Coins” section, the “My Coins” tab;
  • Select the “Create a New Coin” option;
  • Choose the Mold that will become the basis of the future Coin. The Mold can only be used once to create one unique Coin;
  • Choose a token, enter the price, and click the “Sell Mold” button;
  • Select a token and enter the amount. The amount locked into the coin affects its final appearance. The higher the amount is, the more exclusive and expensive attributes (such as materials, stones, and other components) the coin will have;
  • The specified amount will be debited from the User’s account and locked in the created coin. The User will be able to get back the locked amount in full, for more details see the “Extract funds” option.
A request will be sent to the wallet, where a user has to:
  1. Set the spending limit for CAV and click “Next” (*only in case of sale in CAV).* We advise choosing the “set default value” option, this way the user will set a limit that does not exceed the amount of the future transaction;
  2. Allow access and transfer of your tokens and press “Confirm”;
  3. Confirm the transaction;
  4. The coin has been successfully generated. Click “Done” to return to the “My Coins” tab.
5.3.2.
Staking a Coin
  • Open the “Molds & Coins” section, the “My Coins” tab;
  • Click on the desired Coin;
  • Select the “Stake Coin” option;
  • Choose a lock-up period and click “Stake”;
A request will be sent to the wallet, where a user has to confirm the transaction;
  • The User’s CoinAvatar has been successfully staked. Click “Done” to return to the single Coin’s page.
5.3.3.
Selling a Coin
  • Open the “Molds & Coins” section, the “My Coins” tab;
  • Click on the desired Coin;
  • Select the “Sell Coin” option;
  • Choose a token and enter the price and click the “Sell Coin” button.
A request will be sent to the wallet, where a user has to:
  1. Set the spending limit for CAV and click “Next” (*only in case of sale in CAV). We advise choosing the “set default value” option, this way the user will set a limit that does not exceed the amount of the future transaction;
  2. Allow access and transfer of your tokens and press “Confirm”;
  3. Confirm the transaction;
  4. The offer has been successfully generated.
5.4.
Extracting Funds.
  • Open the “Molds & Coins” section, the “My Coins” tab;
  • Click on the desired Coin;
  • Select the “Extract Funds” option. This option may be disabled if your coin is staking or has an active offer for sale on the marketplace;
  • Confirm the action by clicking “Extract Funds”. By pressing the “Extract Funds” button, the user will return the funds to their account. The Coin will be destroyed (this action cannot be undone).
A request will be sent to the wallet, where a user has to:
  1. Set the spending limit for CAV and click “Next” (*only in case of sale in CAV). We advise choosing the “set default value” option, this way the user will set a limit that does not exceed the amount of the future transaction;
  2. Allow access and transfer of your tokens and press “Confirm”;
  3. Confirm the transaction;
  4. You have successfully extracted funds. Click “Done” to return to the “My Coins” tab.
5.5.
Marketplace.
5.5.1.
Buying a Mold.
  • Open the “Marketplace” section, the “Molds” tab;
  • Click on the desired Mold;
  • Click on the “Buy Now” button;
  • Confirm the action by clicking “Buy”.
A request will be sent to the wallet, where a user has to:
  1. Set the spending limit for CAV and click “Next” (only in case of sale in CAV). We advise you to choose the “set default value” option, this way the user will set a limit that does not exceed the amount of the future transaction;
  2. Allow access and transfer of your tokens and press “Confirm”;
  3. Confirm the transaction;
  4. The mold has been successfully bought. Click “Ok” to continue securing your assets.
5.5.2.
Buying a Coin
  • Open the “Marketplace” section, the “Coins” tab;
  • Click on the desired Coin;
  • Click on the “Buy Now” button;
  • Confirm the action by clicking “Buy”.
A request will be sent to the wallet, where a user has to confirm the transaction:
  1. Set the spending limit for CAV and click “Next” (only in case of sale in CAV). We advise you to choose the “set default value” option, this way the user will set a limit that does not exceed the amount of the future transaction;
  2. Allow access and transfer of your tokens and press “Confirm”;
  3. Confirm the transaction;
  4. The Coin has been successfully bought. Click “Ok” to continue building strong and clear assets.

6. Payments and Fees

6.1.

CoinAvatar provides a web service that helps users to purchase, discover and interact directly with assets available on public blockchains. We do not hold or control the assets or the blockchains you interact with. In order to use our Services, you must use a third-party wallet that allows you to make transactions on blockchains.

6.2.

Like much of the web, your blockchain address acts like your CoinAvatar identity. Accordingly, you will need a blockchain address and a third-party wallet to access the Services.

6.3.

Your CoinAvatar account will be linked to your associated blockchain address and will display the assets for that blockchain address (and, if applicable, any content associated with such assets).

6.4.

By using your wallet in connection with CoinAvatar, you agree that you are using that wallet in accordance with the terms and conditions of the respective wallet provider. Wallets are not managed, maintained, or associated with CoinAvatar, and CoinAvatar does not store or control the contents of your wallet and is not able to retrieve or transfer its contents.

6.5.
The Site earns through commissions for all actions on the Site:
  • Creating molds and coins;
  • Coin destruction;
  • Fusing molds;
  • Staking coins more than once;
  • Selling and buying coins and molds on our marketplace;
The Site waives any covert commissions or surcharges.
6.6.

The cost of the commission in the CoinAvatar token is equivalent to $10 in CAV tokens for each action, except for selling on the marketplace. On the marketplace, the commission is charged from the seller and is 2% if the payment is made in the CoinAvatar token, and 2.5% if the payment is made in a third-party cryptocurrency.

6.7.
The CoinAvatar platform charges a fee for some of the actions listed above. Here is a comprehensive list of such transactions:
  • Renewing a staking option or selecting a new one (each coin can participate in staking only once for free);
  • Buying and selling coins and molds (standard commission for each transaction on the marketplace is 2.5%. If the user conducts the transaction using a CAV token, the commission is reduced to 2%);
  • Fusing of molds;
  • Melting down of coins;
  • Creating coins & molds.
6.8.

You are solely responsible for maintaining the security of your wallet, and you should never share your wallet credentials or seed phrase with anyone. If you find a problem with your wallet, please contact the wallet provider. Likewise, you are solely responsible for your Account and any wallet associated with it, and we are not responsible for any act or omission on your part in connection with your Account or as a result of your Account or wallet being hacked.

6.9.

You agree to notify us immediately if you discover or otherwise suspect any security issues related to the CoinAvatar Services or your Account (you may contact us, you are solely responsible for your account and any associated wallet). We are not liable for any act or omission on your part in connection with your account or as a result of your account or wallet being hacked.

7. Disclaimer of Warranties; Limitation of Liability

7.1.

If you choose to use the Site or Services, you do so voluntarily and at your sole risk. The Site and Services are provided “as is” and to the fullest extent permissible under applicable laws, we disclaim all warranties or other terms of any kind, expressed or implied, including, but not limited to, implied warranties or terms of satisfactory quality, merchantability or fitness for a particular purpose. We do not warrant: that the Site or Services, or any of their functions, will be uninterrupted or error-free, that defects will be corrected; that any part of the Sites or Services, or the servers that make them available, are free of viruses or other harmful components. We do not warrant or make any representations regarding the use or the results of the use of the Sites or Services with regard to the correctness, accuracy, timeliness, reliability, or appropriateness for any purpose, or otherwise. Due to the nature of the Internet, CoinAvatar cannot guarantee the continuous and uninterrupted availability and accessibility of the sites or services. If you are dissatisfied with any of the materials contained in the sites or services, or with any of these terms, your sole and exclusive remedy is to discontinue the use of our sites or services.

7.2.

You acknowledge and agree that the characterization and regulatory scheme governing assets, cryptocurrencies, and blockchain technology is uncertain and continually evolving, and is accompanied by inherent risks, including risks related to faulty or insufficient hardware, software, or internet connections; introduction or intrusion of malicious code or software; hacking or unauthorized access to your digital wallet or information stored therein, or of theft or diversion of funds therefrom; unstable or unfavorable exchange rates; and the risk of unfavorable regulatory intervention and/or tax treatment in relation to transaction in cryptocurrency. You further acknowledge and agree that digital assets are highly experimental, risky, and volatile, and your use of the Site and Services to purchase digital assets may carry substantial financial risk, including the risk of loss in trading digital assets. By using the Site or Services, you represent that you have sufficient knowledge, sophistication, and experience with respect to assets, cryptocurrency, and blockchain technology, to make your own evaluation of the merits and risks of any transaction conducted via the Site or Services or any digital asset associated with such transaction. Under no circumstances will the operation of all or any portion of the Site or Services by CoinAvatar be deemed to create a relationship that includes the provision or tendering of getting advice about your future rewards.

We do not warrant or represent that your use of our Site will be uninterrupted, timely, secure, or error-free.

7.3.

We do not warrant that the results that may be obtained from the use of the Site will be accurate or reliable.

7.4.

Under no circumstances shall CoinAvatar, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, or service providers be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive damages, special or consequential damages of any kind, including, but not limited to, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages based on contract, tort (including negligence), strict liability, or otherwise arising out of your use of the Service or any products acquired using the Site, or any other claims in any way related to your use of the Site or any product, including, but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of using the service or any content (or product) posted, transmitted, or otherwise made available through the Service, even if advised of their capability. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions our liability is limited to the maximum extent permitted by law.

7.5.

You accept and acknowledge:

7.5.1.

The value of assets is subjective. Asset prices are subject to volatility and cryptocurrency price fluctuations can also materially and adversely affect asset prices. You acknowledge that you fully understand this subjectivity and volatility and that you can lose money.

7.5.2.

The regulatory regime governing blockchain technologies, non-fungible tokens, cryptocurrencies, and other cryptographic-based items is uncertain and new rules or policies could materially adversely affect the development of the Site and the usefulness of assets.

7.5.3.

You are solely responsible for determining what taxes, if any, apply to your transactions. CoinAvatar is not responsible for determining the taxes applicable to your assets.

7.5.4.

We do not control the public blockchains you interact with, and we do not control certain smart contracts and protocols that may be integral to your ability to transact on those public blockchains. In addition, transactions on the blockchain are irreversible, and CoinAvatar does not have the ability to reverse any transactions on the blockchain.

7.5.5.

There are risks associated with the use of the Internet and blockchain-based products, including, but not limited to, the risk associated with hardware, software, and Internet connectivity, the risk of introducing malicious software, and the risk that third parties may gain unauthorized access to your third-party wallet or account. You acknowledge that CoinAvatar shall not be liable for any communication failures, errors, misrepresentations, or delays that you may experience while using CoinAvatar or any Blockchain network, regardless of the cause.

7.6.

You must be at least 18 years of age to use our Services.

Minors under the age of 18 and at least 13 years of age are only allowed to use our Services through a wallet owned by a parent or legal guardian, with their respective permission and under their direct control. Children under the age of 13 are not permitted to use the CoinAvatar.
